How Bowery’s Governance Infrastructure Sets Investors Up for Success
Back to Marketing InsightsWe often emphasise the importance of strong foundations for success — and with good reason. Not only do we believe that the right groundwork is ethically responsible and legally appropriate, it helps prevent a wide range of potential issues down the line. For private mortgage funds, a critical pillar of success is effective governance. At Bowery, we’re no exception. In fact, one of the things that sets us apart is our dedication to building and maintaining a robust governance framework.
By focusing on building a strong backend to support frontend operations, we ensure sustainable growth and investor confidence.
Here, we explore how Bowery’s governance infrastructure differentiates us from competitors and sets up investors for long-term success.
Building a foundation for responsible growth.
Bowery’s approach to governance starts with a simple yet powerful philosophy: prioritise the backend infrastructure to support sustainable growth. Unlike some competitors who chase deals and build infrastructure reactively, Bowery has invested significant resources into creating a solid foundation. This proactive approach mitigates risks and ensures that the fund is positioned for scalability without compromising on quality.
Expert lawyers.
Bowery engages HWL Ebsworth, a firm renowned for its expertise in governance and compliance under the Australian Financial Services Licence (AFSL) regime. This ensures that Bowery’s core structural documentation is accurate, comprehensive and regularly reviewed.
Bowery uses three highly experienced legal firms for loan documentation and settlement of loan transactions – Arnold Block Leibler (ABL), Kalus Kenny Intelex (KKI) and Blue Rock. For consistency in documentation across the legal firms undertaking this work, Bowery created a uniform suite of documents prepared by Arnold Bloch Leibler (ABL), a highly reputable and experienced firm. These documents are regularly reviewed and are the base for all of our transactions irrespective of which legal firm is involved.
Safeguarding data & privacy with cybersecurity governance.
Cyber threats are always present and digital safety is forefront in our minds. We’ve made and continue to make significant investments in cybersecurity governance, including engaging independent specialists for on-going consulting advice, support and education. This strategy of outsourcing mitigates risks, allowing us to maintain trust and operational integrity. Our goal is to protect the sensitive data and the privacy of both investors and borrowers.
A culture of diligence.
Diligence is ingrained into every aspect of our operation — let’s use adherence to AFSL as an example. Compliance here includes regular reporting, conflict management, and mandatory training for directors and key personnel, driven and supported by expert external consultants. By adhering strictly to these requirements, we foster a culture of diligence and accountability, reinforcing investor confidence.
Independent Experts.
Bowery’s investment committee is comprised of both internal directors and external experts within the private lending space in order to introduce further industry experience and independence in its decision making.
At the board of directors level, Bowery is chaired by an independent who has brought to Bowery decades of commercial and governance experience to the business.
Ensuring loan repayments with sound exit strategies.
Bowery places particular emphasis on exit strategies to ensure that loans are repaid on time. Dedicated employees govern this process rigorously, requiring borrowers to provide evidence of refinancing or sale four weeks before loan expiry. This meticulous approach minimises risks and ensures that investors receive timely returns. Our use of a panel of expert lawyers for transaction and exit documentation further bolsters this process.
Governance for the future.
Bowery’s governance infrastructure is designed for today and for the future. By investing in scalable systems and processes, our operations can grow seamlessly without sacrificing quality. This foresight contrasts sharply with the ad hoc approaches of some competitors, solidifying Bowery’s reputation as a responsible, forward-thinking private lender.
Building wealth starts with good governance.
Our comprehensive governance means we can provide a secure and reliable platform for our investors (just one of the benefits of choosing a private lender). As Bowery continues to grow, our robust infrastructure will ensure that we remain a trusted partner for investors seeking sustainable, transparent investment opportunities.
